These Terms of Service ("Terms") constitute a legally binding agreement between you and VScout ("VScout," "we," "us," or "our"), governing your access to and use of the VScout platform, website, API, and all related services (the "Service").
1. Acceptance & Eligibility
By accessing or using VScout, you confirm that you:
- Are at least 18 years old
- Have the legal authority to enter into these Terms on behalf of yourself or the organization you represent
- Will comply with all applicable local, state, national, and international laws and regulations
If you are using VScout on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. "You" refers to both the individual and the organization.
2. Account Registration & Security
- You must provide accurate and complete registration information
- One person or legal entity may maintain no more than one account per organization
- You are responsible for maintaining the confidentiality of your login credentials
- You are responsible for all activity that occurs under your account
- You must notify us immediately at admin@vscout.co of any unauthorized access
- We reserve the right to suspend accounts showing signs of unauthorized access or suspicious activity
3. Subscription Plans & Billing
VScout offers the following subscription plans:

- The Free plan is free forever. No credit card required to create an account
- Paid plans (Pro, Enterprise) are billed in advance on a monthly or annual basis starting the date you upgrade
- All fees are exclusive of applicable taxes (VAT, sales tax, etc.)
- Payment is processed securely through Polar. We do not store your payment card details
- We may change pricing with 30 days written notice to your registered email. Price changes take effect at the start of your next billing cycle
- Downgrading may result in loss of features or capacity. You are responsible for ensuring your usage fits within the new plan before downgrading
4. Cancellation & Refunds
- You may cancel your subscription at any time from Settings or by emailing admin@vscout.co
- Cancellation takes effect at the end of the current billing period - you retain access until then
- We do not provide refunds for partial months of service or unused time
- If you never upgrade from the free Starter plan, you are never charged
- Upon cancellation, your data is retained for 30 days, then permanently deleted. You may export your data at any time before deletion

You agree not to use VScout for any unlawful purpose or in violation of these Terms. You must not:
- Discriminate against candidates based on protected characteristics (race, gender, age, disability, religion, sexual orientation, national origin, or any other protected class)
- Upload false or misleading candidate profiles or job descriptions
- Upload malicious content, viruses, or harmful code
- Attempt to gain unauthorized access to other accounts, systems, or data
- Use automated tools to scrape, extract, or harvest data from the platform
- Resell, sublicense, or redistribute the Service without prior written authorization
- Violate any applicable employment, labor, or anti-discrimination laws
- Process or store data in violation of GDPR, CCPA, or other applicable privacy regulations
- Use the AI features to generate content that is illegal, defamatory, or intentionally deceptive
- Circumvent, disable, or interfere with security features of the Service
Violation of this policy may result in immediate suspension or termination of your account without notice.
6. AI-Generated Content
VScout uses artificial intelligence to generate job descriptions, candidate summaries, screening recommendations, interview questions, and other content. By using these features, you acknowledge and agree:
- No guarantee of accuracy: AI-generated content is provided as-is and may contain errors, inaccuracies, or biases. You are responsible for reviewing all AI output before acting on it
- Human oversight required: AI recommendations are advisory only. All hiring decisions, candidate rejections, and offer letters must involve human review and approval
- Your responsibility: You are solely responsible for how you use AI-generated content, including ensuring compliance with employment laws and anti-discrimination regulations
- No legal advice: AI-generated content (including compliance suggestions) does not constitute legal, employment, or professional advice
- Content ownership: AI-generated content created using your data is available for your use within the platform. We do not claim ownership of outputs generated from your inputs
7. Intellectual Property
7.1 Our Property
The Service - including software, design, logos, trademarks, documentation, and all related intellectual property - is owned by VScout or its licensors. You may not copy, modify, distribute, reverse-engineer, decompile, or create derivative works of any part of the Service.
7.2 Your Data
You retain full ownership of all data you upload to VScout, including candidate information, job descriptions, and organizational data. You grant us a limited, non-exclusive, worldwide license to use your data solely for the purpose of providing and improving the Service. This license terminates when you delete your data or close your account.
7.3 Feedback
If you provide feedback, suggestions, or ideas about VScout, we may use them without obligation to compensate you, and you hereby assign all rights in such feedback to us.
8. Data Processing
Your use of VScout involves the processing of personal data. By using the Service:
- You act as the data controller for candidate and organizational data you upload
- We act as a data processor on your behalf, processing data only as instructed and as necessary to provide the Service
- You are responsible for having a lawful basis (e.g., consent, legitimate interest) for processing candidate personal data
- You agree to inform candidates about how their data is processed, including through AI features
Our data handling practices are detailed in our Privacy Policy. Enterprise customers can request our Data Processing Agreement for formal contractual data protection terms.
9. Uptime & Service Levels
- We target 99.9% uptime for the VScout platform (measured monthly, excluding scheduled maintenance)
- Scheduled maintenance windows are communicated at least 48 hours in advance via email and in-app notification
- Enterprise customers may negotiate a formal Service Level Agreement (SLA) with specific uptime guarantees and credit remedies
- We are not liable for downtime caused by force majeure events, third-party service outages (Supabase, Vercel, Anthropic), or your own network/hardware issues
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- VScout shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses
- This applies regardless of the cause: your use or inability to use the Service, unauthorized access to your data, AI-generated recommendations or decisions, third-party conduct on the platform, or any other matter relating to the Service
- Our total aggregate liability for any and all claims arising out of or relating to the Service shall not exceed the total amount you have actually paid to VScout during the twelve (12) months immediately preceding the event giving rise to the claim
- The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement
11. Indemnification
You agree to indemnify, defend, and hold harmless VScout and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use of the Service in violation of these Terms
- Your violation of any applicable law or regulation, including employment and anti-discrimination laws
- Your uploading or processing of candidate data without proper lawful basis or consent
- Any claim by a third party arising from your use of the Service
12. Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
12.2 Binding Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, USA, and be conducted in English. The arbitrator's decision shall be final and binding.
12.3 Class Action Waiver
You agree that disputes will be resolved on an individual basis. You waive any right to participate in a class action, collective action, or representative proceeding.
12.4 Exceptions
Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.
13. Termination
- By you: You may cancel your account at any time from the Settings page or by emailing admin@vscout.co
- By us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay fees when due
- Effect of termination: Upon termination, your right to use the Service ceases immediately. Your data will be retained for 30 days (during which you may request an export), then permanently deleted
- Survival: Sections on Intellectual Property, Limitation of Liability, Indemnification, Dispute Resolution, and any accrued payment obligations survive termination
- Inactive accounts: We may terminate accounts that remain inactive for more than 12 consecutive months after providing 30 days notice
14. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated by email and/or a prominent notice on the Service at least 30 days before they take effect. Your continued use of VScout after changes become effective constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service and cancel your account.
15. Miscellaneous
- Entire agreement: These Terms, together with the Privacy Policy, Refund Policy, and any applicable DPA, constitute the entire agreement between you and VScout
- Severability: If any provision is found unenforceable, the remaining provisions remain in full force and effect
- Waiver: Failure to enforce any right or provision shall not constitute a waiver of that right or provision
- Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights freely in connection with a merger, acquisition, or sale of assets
- Force majeure: Neither party shall be liable for delays or failures caused by events beyond reasonable control (natural disasters, pandemics, government actions, internet outages)
